Article I

The name of the corporation is:

    Wing Family of America, Inc.

Article II

The purpose of the corporation is to engage in the following activities:

    A. Collect data and family history of the descendants of the Reverend
John and Deborah Wing.

    B. To cement family, social ties and fraternal relationships among the
descendants of Rev. John and Deborah Wing.

    C. Publish and disseminate information relative to family history.

    D. Acquire and hold for historical purposes real estate of historical family

    E. Maintain a family memorial hall as depository for the historical archives
of the Corporation and to acquire real and personal estate sufficient for
that purpose.

    F. Promote the holding from time to time of family reunions and

    G. Act for the general betterment and advancement of the Wing Family of
America, Inc.

Article III

The corporation may have one or more classes of members. If it does, the designation of such classes, the manner of election or appointments, the duration of membership and the qualification and rights, including voting rights, of the members of each class, may be set forth in the by-laws of the corporation or may be set forth below:

    The membership of the Corporation shall be as may be set forth from time to time in
the by-laws of the Corporation.

Article IV

**Other lawful provisions, if any, for the conduct and regulation of the business and affairs of the corporation, for its voluntary dissolution, or for limiting, defining, or regulating the power of the corporation, or of its directors or members, or of any class of members, are as follows:

    These Articles of Organization may be amended by a vote of three-fourths (3/4ths) of
those members present of voting by proxy at an Annual Meeting or special meeting of
the Corporation at which a quorum has been established, provided that a statement of
any change proposed shall have been provided to the members at least thirty (30)
days prior to said meeting.

**Note: The preceding four (4) articles are considered to be permanent and may ONLY be changed by filing appropriate Articles of Amendment.

Article V

The effective date of the Restate Articles of Organization of the Corporation shall be the date approved and filed by the Secretary of the Commonwealth. If a later effective date is desire, specify such date which shall not be more than thirty days after the date of filing.

** We further certify that the foregoing Restate Articles of Organization affect no
amendments to the Articles of Organization of the corporation as heretofore amended, except amendments to the follow articles. Briefly describe amendments below:

    Article II – To add more specificity to the activities included in the
 purpose of the Corporation

    Article III – To provide for the membership to be as set forth from time
 to time in the bylaws.

    Article IV – To add a provision for amendment of the Articles of Organization.

It is easy to become a member of the Wing Family of America, Inc. (WFA). If you are a blood or adopted descendant of one of the three brothers, John, Daniel or Stephen Wing, you can become a member of the WFA. Wives and husbands of Wing descendants can also become members of the WFA. It is very likely that if your last name is Wing or if your mother or a grandmother had the maiden name of Wing that you are descended from one of the three brothers.
